PLEASE READ THESE TERMS CAREFULLY. BY USING OUR SERVICE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Parties and Scope

These Terms of Service ("Terms") are a legally binding agreement between you ("User", "you") and Trabicon LLC, a limited liability company organized under the laws of California ("Trabicon", "we", "us", "our"). They govern your access to and use of the trabicon.app website, mobile applications, API, trading signals, analysis tools, automated trading bots, and all related services (collectively, the "Service").

2. Acceptance and Changes

By creating an account, accessing trabicon.app, using the Service, or clicking accept, you agree to these Terms and our Privacy Policy. We may modify these Terms from time to time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect where required by law. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to modifications, you must discontinue use of the Service.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) and have the legal capacity to form legally binding contracts. You represent and warrant that:

• You are not located in, under the control of, or a national or resident of any country subject to United States embargo or designated as a "terrorist supporting" country by the U.S. government
• You are not on any U.S. Treasury Department list of prohibited or restricted parties, including the Specially Designated Nationals List
• You are not prohibited from using our Service under any applicable law or regulation
• You have the authority and legal right to use cryptocurrency exchanges and engage in cryptocurrency trading in your jurisdiction
• All registration information you submit is truthful and accurate

If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. Our Service and Limitations

4.1 Service Description

Trabicon provides:

• Trading Signals: Curated cryptocurrency trading signals generated through proprietary analysis, filtering, and market research
• Market Analysis: Technical and fundamental analysis data, charts, indicators, and market insights
• Automated Trading Bots: Software that automatically executes trades on your connected Binance exchange account based on our signals or your configured parameters
• Portfolio Tracking: Real-time monitoring of your trading performance and portfolio metrics
• Educational Resources: Information and materials about cryptocurrency trading (for informational purposes only)

4.2 Non-Custodial Service

The Service is strictly non-custodial. This means:

• Trabicon never holds, controls, or has custody of your cryptocurrency assets or fiat currency
• You retain complete control and ownership of your exchange accounts and all assets therein
• You provide API credentials that permit Trabicon to place trades on your behalf through your exchange account
• Trabicon cannot access, withdraw, transfer, or move funds from your exchange account
• You are solely responsible for the security and management of your exchange accounts

4.3 API Key Requirements and Restrictions

CRITICAL SECURITY REQUIREMENTS:

• You must ONLY provide API keys with TRADING permissions only (buy/sell/spot trading)
• You must NEVER enable withdrawal, transfer, or internal transfer permissions on API keys used with Trabicon
• API keys must have IP whitelisting enabled where possible for enhanced security
• You are solely responsible for configuring API key permissions correctly on the Binance platform
• Trabicon will reject or suspend accounts that provide API keys with withdrawal permissions if detected
• You acknowledge that granting withdrawal permissions poses significant security risks and violates these Terms

4.4 No Financial, Investment, or Tax Advice

IMPORTANT DISCLAIMER:

The Service provides market data, trading signals, analysis, and automated execution capabilities. However:

• Nothing provided through the Service constitutes financial, investment, legal, or tax advice
• All information is educational and for convenience only
• Trabicon is not a registered investment adviser, broker-dealer, or financial institution
• You are solely and exclusively responsible for all trading decisions and their consequences
• Past performance of signals, strategies, or historical data is not indicative, predictive, or a guarantee of future results
• You should consult with qualified financial, legal, and tax professionals before engaging in cryptocurrency trading
• Cryptocurrency markets are highly volatile and speculative

4.5 Signal Accuracy and Performance

While we employ rigorous analysis and filtering methodologies:

• We do not guarantee the accuracy, completeness, or timeliness of any signals or analysis
• Market conditions change rapidly and signals may become outdated
• Technical issues, delays, or exchange limitations may affect signal execution
• Automated trading bots execute based on algorithms and market conditions; results will vary
• You acknowledge that losses are possible and even likely in cryptocurrency trading

4.6 Third-Party Integrations

The Service integrates with third-party platforms, including:

• Binance Exchange: All trades are executed on Binance. Binance's Terms of Service govern your relationship with them
• Payment Processors: Subscription payments are processed by third-party providers (e.g., Stripe)
• Data Providers: Market data may be sourced from third-party providers

We are not responsible for:

• Third-party service outages, errors, or failures
• Changes to third-party APIs or terms
• Third-party fee structures or changes
• Security breaches or issues at third-party platforms
• Binance account suspensions, limitations, or terminations

4.7 Exchange Account Requirements

To use our automated trading features:

• You must maintain an active, verified Binance account in good standing
• You must comply with all Binance terms, policies, and requirements
• You must ensure your Binance account has sufficient funds for trading
• You are responsible for all Binance fees, including trading fees, withdrawal fees, and any other charges
• You must ensure your Binance account is not restricted, suspended, or limited in any way that would prevent trading

5. Account Registration and Security

5.1 Account Registration

You must provide accurate, complete, and up-to-date information during registration, including:

• Valid email address
• Accurate personal or business information
• Secure password meeting our requirements

You agree to promptly update your information if it changes.

5.2 API Key Submission and Authorization

By submitting Binance API credentials to Trabicon:

• You authorize Trabicon to access your Binance account via API solely for placing trades, retrieving balance information, and accessing trading history
• You confirm that you are the lawful owner or authorized user of the Binance account
• You confirm the API key has only trading permissions (no withdrawal permissions)
• You understand that Trabicon will execute trades automatically based on signals and bot configurations
• You acknowledge that you can revoke this authorization at any time by deleting the API key from your Trabicon account or revoking it on Binance

5.3 Security Obligations

You are responsible for:

• Maintaining the confidentiality of your Trabicon account credentials and Binance API keys
• All activities that occur under your account
• Ensuring no unauthorized person accesses your account
• Using strong, unique passwords
• Enabling two-factor authentication (if available)
• Immediately notifying us at info@trabicon.app of any unauthorized use, security breach, or suspected compromise

We are not liable for losses resulting from unauthorized use of your account if you failed to maintain reasonable security measures.

5.4 Account Suspension

We reserve the right to suspend or limit access to your account if:

• We detect suspicious activity
• Your API keys appear compromised
• Your Binance account becomes restricted or suspended
• We suspect violation of these Terms
• Required by law or regulatory authority

6. Subscriptions, Billing, and Refunds

6.1 Subscription Plans

Trabicon offers various subscription tiers with different features, signal quantities, and bot capabilities. Current pricing and plan details are available at trabicon.app/pricing.

6.2 Billing and Payment

• Subscription fees are charged in advance on a monthly or annual basis depending on your selected plan
• All fees are in U.S. Dollars unless otherwise specified
• Payment processing is handled by third-party payment processors (e.g., Stripe)
• You authorize Trabicon and its payment processors to charge your designated payment method
• You are responsible for ensuring your payment method remains valid and has sufficient funds
• Failed payments may result in service suspension or account termination

6.3 Automatic Renewal

Unless you cancel before the end of your current billing period:

• Your subscription will automatically renew for successive periods of the same duration
• You will be charged at the then-current rate for your plan
• You can cancel auto-renewal at any time through your account settings

6.4 Free Trials

We may offer free trials for new users. During a trial:

• You gain full or limited access to Service features
• No payment is required during the trial period
• Your payment method may be authorized for verification purposes
• Upon trial expiration, your subscription automatically begins and you will be charged unless you cancel before the trial ends
• Each user is limited to one free trial unless otherwise specified

6.5 Refunds and Cancellations

• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period; you retain access until then.
• Refunds: All subscription fees are non-refundable except:
  • Where required by applicable law
  • At our sole discretion for service failures attributable to Trabicon
  • As explicitly stated on our pricing page

Refunds are not provided for:

• Trading losses or poor signal performance
• User error or misconfiguration
• Exchange-related issues
• Unused time in a billing period after cancellation
• Change of mind after purchase

6.6 Chargebacks and Disputes

If you initiate a chargeback or payment dispute:

• We reserve the right to immediately suspend or terminate your account pending investigation
• We may pursue recovery of fees and costs associated with the chargeback
• Fraudulent chargebacks may result in permanent account termination and legal action

6.7 Fee Changes

We reserve the right to change subscription fees for future billing periods. We will provide at least 30 days' notice of fee increases. Continued use of the Service after a fee change constitutes acceptance of the new fees.

7. Acceptable Use

You agree not to:

7.1 Prohibited Activities

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Engage in market manipulation, wash trading, pump-and-dump schemes, or other fraudulent trading practices
• Violate Binance's Terms of Service or any exchange rules
• Submit API keys with withdrawal, transfer, or internal transfer permissions
• Share your account credentials or API keys with others
• Create multiple accounts to abuse free trials or promotions
• Use the Service to launder money or engage in any illegal financial activity
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems

7.2 Technical Restrictions

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Service
• Use automated systems (bots, scrapers, crawlers) to access the Service except through our official API
• Interfere with or disrupt the integrity or performance of the Service
• Introduce viruses, malware, or other harmful code
• Attempt to bypass any security features or access controls
• Use the Service in a manner that exceeds reasonable usage limits

7.3 Content Restrictions

• Post, transmit, or share any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation
• Violate intellectual property rights of Trabicon or third parties

7.4 Enforcement

Violation of acceptable use policies may result in:

• Warning or notice
• Temporary or permanent suspension of Service access
• Termination of your account without refund
• Legal action and cooperation with law enforcement

8. Risk Disclosure and Disclaimers

8.1 Trading Risks

CRYPTOCURRENCY TRADING INVOLVES SUBSTANTIAL RISK OF LOSS. YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL.

Risks include but are not limited to:

• Market Volatility: Cryptocurrency prices can fluctuate dramatically in very short periods
• Liquidity Risk: You may not be able to execute trades at desired prices
• Technology Risk: Technical failures, bugs, or system outages may prevent or delay trade execution
• Exchange Risk: Binance or other exchanges may experience outages, security breaches, or operational issues
• Regulatory Risk: Cryptocurrency regulations are evolving and may impact your ability to trade
• Execution Risk: Automated bots execute trades based on algorithms; there may be delays, errors, or unexpected behavior
• Slippage: Actual execution prices may differ from expected prices due to market movement
• API Failures: API connections may fail, timeout, or return errors
• Signal Timing: Signals may arrive with delays or become outdated quickly

8.2 No Guarantees

Trabicon makes no guarantees or promises regarding:

• Profitability or positive returns
• Signal accuracy or success rate
• Uptime or availability of the Service
• Compatibility with future exchange API changes
• Protection from losses

8.3 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• TITLE
• ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OF DATA TRANSMISSION
• FREEDOM FROM VIRUSES OR HARMFUL COMPONENTS

No oral or written information or advice given by Trabicon or its representatives creates any warranty.

9. Limitation of Liability

9.1 Liability Cap

EXCEPT WHERE PROHIBITED BY LAW, TO THE MAXIMUM EXTENT PERMITTED:

TRABICON'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, IS LIMITED TO THE TOTAL AMOUNT YOU ACTUALLY PAID TO TRABICON IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9.2 Exclusion of Damages

IN NO EVENT WILL TRABICON, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

• TRADING LOSSES OR INVESTMENT LOSSES OF ANY KIND
• LOST PROFITS, REVENUE, OR SAVINGS
• LOSS OF DATA OR INFORMATION
• BUSINESS INTERRUPTION
• LOSS OF BUSINESS OPPORTUNITY
• CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES

EVEN IF TRABICON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9.4 Third-Party Actions

Trabicon is not liable for:

• Actions, errors, or omissions of Binance or any third-party service
• Exchange outages, security breaches, or API changes
• Payment processor failures or disputes
• Internet connectivity issues
• Force majeure events beyond our reasonable control

10. Indemnification

You agree to indemnify, defend, and hold harmless Trabicon LLC and its officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys' fees), and demands arising from or related to:

• Your use or misuse of the Service
• Your breach of these Terms
• Your violation of any applicable law or regulation
• Your trading activity and decisions
• Your use of API keys or Binance exchange accounts
• Your violation of any third-party rights, including intellectual property rights
• Content you submit or transmit through the Service
• Any negligent or wrongful conduct by you

This indemnification obligation survives termination of these Terms and your use of the Service.

11. Suspension and Termination

11.1 Termination by You

You may terminate your account at any time by:

• Canceling your subscription through account settings
• Sending a termination request to info@trabicon.app
• Revoking API keys on Binance

Upon termination, you will lose access to the Service at the end of your current billing period.

11.2 Termination by Trabicon

We may immediately suspend or terminate your account and access to the Service, with or without notice, for:

• Violation of these Terms
• Violation of acceptable use policies
• Fraud, abuse, or misuse of the Service
• Providing false or misleading information
• Chargeback or payment disputes
• Extended non-payment
• Legal or regulatory requirements
• Threat to the security or integrity of the Service
• Our discontinuation of the Service

11.3 Effect of Termination

Upon termination:

• Your access to the Service will cease immediately or at the end of your billing period
• Automated trading bots will stop executing
• You remain responsible for all fees incurred before termination
• Sections of these Terms that by their nature should survive (including limitations of liability, indemnification, and dispute resolution) will continue to apply
• We may delete your account data in accordance with our data retention policies
• No refunds will be provided except as required by law

11.4 Data Retention

After termination, we may:

• Retain certain account data as required by law, for compliance, fraud prevention, or dispute resolution
• Anonymize and aggregate data for analytics
• Delete personal data in accordance with our Privacy Policy

12. Intellectual Property

12.1 Trabicon's Intellectual Property

All intellectual property rights in the Service, including but not limited to:

• Software, code, algorithms, and technology
• Trading signals and analysis methodologies
• Website design, graphics, logos, and trademarks
• Content, text, images, and videos
• Documentation and user guides

are owned by or licensed to Trabicon LLC. These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service strictly in accordance with these Terms for personal or internal business use only.

You may not:

• Copy, modify, distribute, or create derivative works
• Remove or alter any copyright, trademark, or proprietary notices
• Use our trademarks, logos, or branding without written permission
• Claim any ownership rights in our intellectual property

12.2 User Content

You retain ownership of any content you submit through the Service, including:

• Trading bot configurations and parameters
• Custom settings and preferences
• Chat messages or support communications
• Feedback and suggestions

By submitting content, you grant Trabicon a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, display, and distribute such content solely to:

• Operate and provide the Service
• Improve and develop new features
• Comply with legal obligations
• Enforce these Terms

12.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Trabicon the right to use such feedback without any obligation to you, including for product improvements or new features.

12.4 DMCA and Copyright Complaints

If you believe content on our Service infringes your copyright, please contact us at info@trabicon.app with:

• Identification of the copyrighted work
• Identification of the infringing material
• Your contact information
• A statement of good faith belief
• A statement of accuracy under penalty of perjury
• Your physical or electronic signature

13. Data Protection and Privacy

Your use of the Service is governed by our Privacy Policy, available at trabicon.app/privacy, which explains:

• What personal information we collect
• How we use and protect your information
• How we share information with third parties
• Your rights regarding your personal data
• Our data retention and security practices
• Cookie usage and tracking technologies

By using the Service, you consent to our collection, use, and sharing of information as described in the Privacy Policy.

13.1 API Key Storage

We store your Binance API keys using industry-standard encryption. However:

• We cannot guarantee absolute security
• You should regularly rotate API keys
• You should monitor your Binance account for unauthorized activity
• You are responsible for immediately revoking API keys if you suspect compromise

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

14.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Orange County, California. You consent to the personal jurisdiction of such courts and waive any objection to venue.

14.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at info@trabicon.app to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days.

14.4 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.5 Time Limitation

Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Trabicon regarding the Service and supersede all prior agreements, understandings, and communications, whether oral or written.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

15.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision shall not constitute a waiver of that or any other provision.

15.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may freely assign these Terms without your consent. Any attempted assignment in violation of this provision is void.

15.5 Force Majeure

Trabicon is not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, government actions, internet failures, or power outages.

15.6 Independent Contractors

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Trabicon. You are an independent user of the Service.

15.7 Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and Trabicon.

Notices to you may be sent to the email address associated with your account and shall be deemed delivered 24 hours after sending.

15.9 Language

These Terms are drafted in English. If translated into another language, the English version shall prevail in case of any inconsistency or dispute.

15.10 Export Compliance

You agree to comply with all applicable export control laws and regulations. You represent that you are not located in, or a national of, any country subject to U.S. embargo or export restrictions.

15.11 U.S. Government Rights

If you are a U.S. government entity, the Service is a "Commercial Item" as defined in FAR 2.101 and is provided with only those rights as are granted to all other end users under these Terms.
